Thank you for your interest in being a Corporate Sponsor for The Compassion Journey.

  1. Relationship. For purposes of this Agreement, (a) nothing herein creates a partnership, principal/agent or employer/employee relationship between Compassion and Corporate Sponsor; (b) neither party shall act or attempt to act, or represent itself, directly or by implication, as agent for each other or in any manner assume or create any obligation on behalf of or in the name of the other party; (c) Compassion shall not be obligated to maintain any insurance policy (including but not limited to workers’ compensation coverage) covering Corporate Sponsor or Corporate Sponsor’s performance of the Agreement.
  2. Conduct. Compassion may, at its sole option and discretion, terminate this Agreement immediately upon written notice provided electronically or certified mail, to Corporate Sponsor, if during the Term: (a) the senior leadership or board of directors of Corporate Sponsor commits any criminal act that includes, but is not limited to any allegations, arrests, charges, or convictions (misdemeanor or felony) or any other act involving drugs, alcohol, or moral turpitude; (b) commits any act or becomes involved in any situation or occurrence which brings Corporate Sponsor into public disrepute, contempt, scandal, or ridicule, or which shocks or offends the community or any group or class thereof, or may reflect negatively upon Compassion or its faith-based mission, or reduces the commercial or general value of Compassion's association with Corporate Sponsor; (c) Compassion becomes aware of any situation or occurrence about how the senior leadership or board of directors of Corporate Sponsor has so conducted himself/herself in the past including but not limited to prior criminal acts that includes, but is not limited to any allegations, arrests, charges, or convictions (misdemeanor or felony) or any other incident involving moral turpitude that may reflect negatively upon Compassion or its faith-based mission, or reduces the commercial or general value of Compassion's association with Corporate Sponsor; or (d) Corporate Sponsor takes any action (other than arbitration or legal action arising out of this Agreement) or makes or authorizes statements deemed by Compassion to be in derogation of Compassion or its ministry and such actions or statements become public during the Term. Any of the acts described above will be deemed a material breach of the Agreement.
  3. Use of Marks. During the term and subject to the terms of this Agreement, Compassion and Corporate Sponsor (the "Parties" or individually "Party") grants the other Party a non-exclusive, non-transferable limited license to use, perform and display, the trademarks, trade names and logos (collectively, the "Marks") of the other Party only as necessary for the Party to market its participation in The Compassion Journey project pursuant to the terms of this Agreement. Corporate Sponsor shall use the Marks of Compassion in accordance with trademark guidelines listed below. Corporate Sponsor may provide trademark guidelines for Compassion's use of their Marks, which upon signing becomes part of this Agreement and subject to its terms. Either Party may limit, suspend, or terminate the foregoing license to the other Party in its sole discretion, including but not limited to if it determines that the Party’s use of the other Party’s Marks dilutes the quality or the associated goodwill of the Marks or, if the use of such Marks does not conform to respective guidelines and standards listed below for use. Upon request, Corporate Sponsor shall send to Compassion for prior approval the text and layout of all proposed marketing and promotional material relating to Marks. Corporate Sponsor shall ensure that it's marketing and promotion of the Marks in no way reduces or diminishes the reputation, image and prestige of the Marks. The Parties shall inform the other Party of any unauthorized use of the Marks and will not use or register any mark, name or logo which is similar to or may be confused with the Marks. Both Parties acknowledge that it has no interest in or ownership rights to any of the Marks of the other Party and that all goodwill associated with the Marks shall inure to the benefit of the Party that owns the respective Marks. If Corporate Sponsor acquires any rights in the Marks, by operation of law, or otherwise, such rights shall be deemed and are hereby irrevocably assigned to Compassion without further action by any of the Parties. If Compassion acquires any rights in the Marks, by operation of law, or otherwise, such rights shall be deemed and are hereby irrevocably assigned to Corporate Sponsor without further action by any of the Parties.
    • Corporate Sponsor shall cause to be printed the registration mark symbol of "®" behind the following MARKs in the most prominent place that the MARK appears: Compassion® Compassion International®
    • The following symbol (®) shall be used with The Journey logo and the symbol ™ shall be used with the words: The Compassion Journey™
  4. Confidentiality. Corporate Sponsor agrees that this Agreement and its terms will be kept strictly confidential and agrees not to disclose the Agreement or its terms to any third party either during the term of this Agreement or any time thereafter without the express written approval of Compassion.
  5. Indemnification. Each Party (as "Indemnifying Party") shall defend, indemnify and hold harmless the other Party and its officers, directors, employees, agents, affiliates, permitted successors and permitted assigns (collectively, "Indemnified Party"), against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys’ fees, fees and the costs of enforcing any right to indemnification under this Agreement and the cost of pursuing any insurance providers, incurred by an Indemnified Party/awarded against an Indemnified Party in a final judgment (collectively, "Losses"), arising out or resulting from any claim of a third party or Party alleging: (i) material breach by Indemnifying Party of any representation, warranty, covenant or other obligations set forth in this Agreement; or (ii) gross negligence or more culpable act or omission of an Indemnifying Party in connection with the performance of its obligations under this Agreement. Notwithstanding anything to the contrary in this Agreement, the Indemnifying Party is not obligated to indemnify, defend or hold harmless the other Party and the other Indemnified Parties against any Losses arising out of or resulting, in whole or in part, from an Indemnified Party's: (i) willful, reckless, or negligent acts or omissions; or (ii) bad faith failure to comply with any of its obligations set forth in this Agreement.
  6. Entire Agreement. This Agreement constitutes the entire agreement and understanding between the parties with respect to Corporate Sponsor's involvement at the Event and supersedes all prior agreements related thereto.
  7. Modification. No provision of this Agreement may be amended, modified or waived except by written instrument signed by both parties.
  8. Assignment. This Agreement is not assignable by Corporate Sponsor and Corporate Sponsor's obligations may not be delegated to a third party without the prior written permission of Compassion.
  9. Dispute Resolution. The parties will attempt to resolve any claim or dispute related to this Agreement through good faith negotiations taking into consideration Biblical principles of fair dealing and reconciliation. If they are unable to resolve a claim or dispute through such negotiations any dispute, controversy or claim arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in the State of Colorado, El Paso County, before one arbitrator unless otherwise agreed upon by the Parties. The arbitration shall be administered JAMS pursuant to its Streamlined Arbitration Rules and Procedure.
  10. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, irrespective of its conflicts of laws provisions.
  11. This Agreement may be signed in one or more counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.
